Everyone caught in an RS tries to claim it makes no sense. RS's always make sense to the new owner, they can't lose. They get a clean slate and can start selling shares again which is the reason they bought the shell to begin with.
Lazar doesn't need to RS, he just needs a legally accounted for SS to sell to new owner who can RS as they wish.
