True enough. But to imply the increase in share structure would be a reason to terminate the LOI isnt logical. It may very well be terminated but the increase in SS wouldn't be the reason. In 5 seconds of research CLX would've known that the closing wasnt being closed with cash. I agree with most of your assessments here but there's almost no chance CLX was unaware of a pending SS increase.
