Why the stock is going down after 2B deal..... makes no sense

Gap with only 200K shares from 0.03 to 0.06 and then in the first 15 min it jumped to 0.08 then 0 reaction and millions of shares moving in and out and no reaction...

Is this massive dilution? Or what is it?
