Merger delayed (11/04/20)

On 11/04/20, Monocle Acquisition Corporation announced that it had adjourned, without conducting any business, the special meeting of relating to the previously announced proposed business combination with AerSale Corp. to a date, time and place to be determined at a later date. A notice of date, time and place of the adjourned Merger Meeting will be given to stockholders in accordance with applicable law. When reconvened, it is expected that the Company’s stockholders will vote on the proposals described in the proxy statement filed with the Securities and Exchange Commission on 11/16/20, including a proposal on the Company’s proposed Business Combination.

As previously announced, the Company intends to convene a special meeting of stockholders on 11/06/20 at 3:00 p.m., local time, at the offices of Greenberg Traurig, LLP. At the Extension Meeting, stockholders of the Company will be asked to vote on proposals that include an amendment to the Company’s amended and restated certificate of incorporation to extend the date by which the Company has to consummate a business combination by an additional three months, from 11/11/20 to 2/11/21.
