MAGAA(.68)...continue to hold position.....

Hi, db7, I picked up some shares of the MAGAA shell on Friday. MAGAA has been pretty high up on my watchlist of shells ever since Lazar took over control. Of the Lazar shells I am interested in the most, MAGAA is definitely right near the top from an overall risk/reward standpoint. The structure/valuation/situation should be conducive for some very nice upside.



Yesterday's 8-K confirmed that the sale of the MAGAA shell has been completed. The share structure increase to about 118M is roughly 2-3 times higher than what I was hoping to see. But if that number represents (fingers crossed) what the structure will look like post-merger with the Chinese biotech (prior to any type of financings), then I am looking to get a minimum move somewhere into the 1-2 dollar range on my current position.

Obviously considerable risk here (for a number/variety of reasons), but this could have a chance for some nice movement if the 1.18M shares in the float remain tightly-held. It looks like Lazar retained the 200K shares he had purchased a few months ago.

The stem cell company that is coming into this shell looks pretty interesting to me. Covering most aspects of the industry -- from storage, to cosmetic and medical applications. Most of the biotechs that are researching/using stem cells to treat Covid-19 or other respiratory conditions are utilizing the intravenous method for administration. This Chinese stem cell company is focused on the nebulized inhalation method.....

Although you can never predict with any certainty how serious/committed any Chinese/Asian company will be toward their entrance to the public markets, I feel "reasonably" good that this company will put some effort into this.

Based on the listing promotional video on the company website, it looks like the company has retained the services of Tian Yuan Law Firm (Xia Zhihua, a partner in the Beijing office) to act as its PRC legal counsel. That law firm was also in attendance at a December 2019 forum where the company spoke about its plans for listing. Also among those in attendance at this forum were some investment funds and brokerage firms.

Most of the corporate/promotional videos on the company website (and others I have seen on other sites) appear to have been done in 2020. Although I am not certain of this, the listing promotional video may have placed on the website during September 2020.
