NOT A SHELL COMPANY!

After an investigation of the OTC Markets and Securities and Exchange Commission filings for the Issuer, it is my opinion that the Issuer is not currently a "shell company", as defined in Rules 405 of the
Securities Act of 1933 and 12b-2 of the Securities Exchange Act of 1934.

The SEC on Wednesday approved a change to its rules that would largely prevent brokers from quoting prices for OTC stocks unless the companies issuing such shares released up-to-date financial information to the public.
