We are offering 7,220,000 units, with each unit consisting of one share of our Class A common stock, par value $0.0001 per share (“Common Stock”), and one warrant to purchase one share of our Common Stock (together with the shares of Common Stock issuable upon exercise of such warrants, the “Units”). Warrants included in the Units have an exercise price of $[?] per whole share (the “Warrants”).

The Units will not be issued or certificated. The shares of Common Stock and the Warrants are immediately separable and will be issued separately, but will be purchased together in this offering. The Warrants will be exercisable on the date of issuance and will expire on the five year anniversary of the date of issuance.

Our Common Stock, public warrants and Seller warrants (as defined herein) are listed on the Nasdaq Capital Market under the symbols “HYMC,” “HYMCW ” and “HYMCZ,” respectively. On September 25, 2020, the closing price of our Common Stock was $10.90 per share, the closing price of our public warrants was $1.66 and the closing price of our Seller warrants was $0.44 per share.
