HOW MANY VOTES ARE NEEDED FOR A QUORUM?

https://law.justia.com/codes/delaware/2016/title-8/chapter-1/subchapter-vii/section-216

Subject to this chapter in respect of the vote that shall be required for a specified action, the certificate of incorporation or bylaws of any corporation authorized to issue stock may specify the number of shares and/or the amount of other securities having voting power the holders of which shall be present or represented by proxy at any meeting in order to constitute a quorum for, and the votes that shall be necessary for, the transaction of any business, but in no event shall a quorum consist of less than 1/3 of the shares entitled to vote at the meeting, except that, where a separate vote by a class or series or classes or series is required, a quorum shall consist of no less than 1/3 of the shares of such class or series or classes or series. In the absence of such specification in the certificate of incorporation or bylaws of the corporation:

497,498,338/3 = 165832780 + 1 = 165832781 VOTES NEEDED FOR A/S

How close are we?
Well I am not going to count the 20M abstentions,
I am going to assume that most of the 155.8 Million voted for the A/S
I am going to assume that most of the 110.8 Million didn't vote for the A/S at first.

So lets say that most = 85 percent and 98 percent respectfully.

Therefor we had a rough approximation of (155.8 * .85)M + (110.8 * .02)M = 132.4M + 2.2M = 134.6M votes at first!

So by those calculations 165.84 - 134.6 means approximately 31.24M share votes needed to be converted over from the beginning. These are just estimates. Now, as I personally did change my mind, others also have changed their minds. How close to 31.42M shares did that equal? Well if the average was 1/4M and 20 shareholders changed their minds that's only 5M. So 26.42 left. Of course once again these are just arbitrary numbers for approximation purposes.

How many more shareholders would have to change their mind to get the A/S. Well using the numbers in previous example, it would be approximately 27 * 4 shareholders needed to change their minds.

BOTTOM LINE IMO WE NEED ABOUT 108 SHAREHOLDERS TO CHANGE THEIR MIND AND VOTE FOR THE AUTHORIZED SHARES IN THE NEXT 33 DAYS SO THIS COMPANY CAN FINALLY BEGIN MAKING REVENUE IN THE NEAR FUTURE!

PS: IF I DID COUNT THE ABSTENTIONS THIS WOULD BE MUCH CLOSER!
