Lordstown Motors sets record date for meeting, names Samsung as battery partner and updates merger documents to account for September financings

DiamonPeak Holdings and Lordstown Motors filed updated merger documents today in connection with the business combination that is expected to bring Lordstown Motors public later this year.

DiamonPeak set September 21st as the record date for the shareholder meeting, which means that only DiamonPeak shareholders as of the close of business today will be entitled to vote at the Special Meeting where a number of proposals, including the merger with Lordstown, are considered. The date for the meeting itself has not yet been set.

DiamonPeak and Lordstown also updated the number of shares that will be outstanding following the transaction from 2.5 million to 4 million to account for recent financings by Lordstown on Septmeber 9th and 18th through the issuance of Convertible Promissory Notes.
