Yeah, the auditors and CFO lied on the 10-K
2019 10-K of Surge Holdings, Inc.


This is further supported in the 2020 Q2 10-Q:

First, as repeated from previous filings, and with updated mid-June 2020 date:

During the year ended December 31, 2019 and the six months ended June 30, 2020, the Company was able to continue the utilization of the internal controls and operating procedures and techniques employed by the Company’s management in order to enhance the business by creating operating efficiencies and controlling costs. Lastly, the Company has significantly restructured its balance sheet to be an effective platform for growth as the Company continues to work towards listing on the Nasdaq Capital Market in the near term.


And then new for Mid 2020:

Under the supervision and with the participation of our management, including our principal executive officer and principal financial officer, we conducted an evaluation of our disclosure controls and procedures, as such term is defined under Rule 13a-15(e) and Rule 15d-15(e) promulgated under the Securities Exchange Act of 1934, as amended (Exchange Act), as of June 30, 2020. Our management has determined that, as of June 30, 2020, the Company’s disclosure controls and procedures are not effective due to a lack of segregation of duties, lack of an audit committee, and lack of documented controls. The Company has undergone a complete change of management and is in process of developing the necessary controls and procedures.

which is a complete lie, as well. The company only changed CFO after the previous CFO quit because he would not certify the false information in the 2019 10-K, and the Company also made this same new CFO, Anthony Evers, the Company COO.
