MA, you've averred that Malcolm has character,

which you say is "integrity, fairness, [a] sense of honor," and several other qualities. You've also said that Malcolm is strongly dedicated to doing what's right for the company's shareholders.

I want to believe you, and I have to admit that there IS some evidence to support your view: the favorable impressions I gleaned from a couple of conversations I had with Malcolm some time back, the interviews he's given, the Texas Lawyer interview (http://www.law.com/jsp/tx/PubArticleFriendlyTX.jsp?id=1097686233329).

But if he's of such sterling character, how do you explain why he allowed -- and probably encouraged -- the BOD to give him such a HUGE raise this year (wasn't it 40%?), DESPITE THE FACT that the company has "acute cash flow problems" and every penny spent for salaries results in shareholder dilution, and DESPITE THE FACT that by any standards you want to apply, his stewardship of the company has so far led to very limited visible progress in accomplishing any of the goals the company itself has set?
