Because they want to sever the liens from the assets, turn about $1M of secured credit into unsecured credit. It's the difference from having to pay $1M in cash vs giving 100M shares of stock.

I swear I’ll never use the phrase “you can’t make this stuff up” ever again after being on the OTC. Apparently you can.
