Considering this is the first significant batch of shares issued in almost 1 year, and they were not diluted into the open market, one could assume it was a direct transfer. Possibly part of a larger funding source linked with future notes.

I personally could care less if the authorized count was 5 million or 5 billion. It's about the distribution and use of them that interest me. If they need to issue 5 million to fund expansion and pay off debt, great.

You mention maxing the shares out and another reverse split. At the rate shares get issued here at PACV, that would be about 10 year's away.
