Looks like 8M+ new shares plus warrants are being offered at $1.80.
Pretty sure these are the shares (existing outstanding shares) that the debtholders received when they converted their debt.
If warrants exercised (those would be new outstanding shares), doesn't seem likely without news, NMTC would pull down $5,382,570.60 before selling expenses.
