The Merger Consideration Per Share, which is estimated at approximately $0.05 per share, will be payable in an initial installment that reflects the reserves and an estimate of post-closing transaction expenses, with additional payments to be made when and if funds become available from the reserves and estimate of transaction expenses which is estimated at approximately $0.008 per share if no post-closing claims are made or post-closing transaction expenses incurred.
