Ergomed shares

Not an exhaustive and extensive list, just a past few to get a gist of how this is structured.


On August 15, 2019, the Company entered into an SPA under which it issued Ergomed 250,000 restricted shares of the Company’s common stock.

As of September 30, 2019, Ergomed holds 198,000 shares for resale

As of December 31, 2019, Ergomed held 99,650 shares for resale

As of March 31, 2020, Ergomed held 20,250 shares for resale.


On April 6, 2020 the Company issued Ergomed 100,000 shares of its common stock in payment for services (Registered on S-1 dtd April 9, 2020)

On June 26, 2020, the Company issued Ergomed 50,000 shares of its common stock in payment for services. (Registered with the same registration filing as the recent warrants)

It seems that a bunch of shares are given to Ergomed and they sell 'em down to cover the expenses.

They even return some, On December 31, 2018, the expiration date of the prior agreement, Ergomed returned 564,905 unsold shares for cancellation.

Not sure one can claim with certainty the most recent share payment was for other than regular services.
