So there is a share agreement contract.

Is SAM getting Edwin's Series B? That holds the 51% voting power.

Or is there a private sale between whoever bought all those convertible shares and SAM?

If he gets to pay market price, it would only take around $305,000 to own half the common shares. Why they would want common shares without voting rights is beyond me. Unless you have a deep belief that the share price is going up.
