Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On January 28, 2020, Mr. Michael Reger notified the Board of Directors (the “Board”) of GelTech Solutions, Inc. (the “Company”) that he was resigning as the Chairman of the Board, a director and as an executive officer of the Company. Additionally, Mr. Reger informed the Board that he will no longer be funding the Company’s operations.


Item 8.01 Other Information.


As a result of the disclosure under Item 5.02 above, the Company does not have sufficient funds to continue its operations. The Board is looking to alternatives for the future of the Company.
