kim doesn't need shareholder approval for a r/s...the BOD can authorize it themselves...and set the ratio...if they so see fit to do so...



The reverse split requires a change to the articles of incorporation, which has to be done by a vote at the shareholder meeting. Once the split has been authorized, the BoD can set the ratio within the parameters of the authorization.

Thompson's voting rights allow him to approve whatever changes he wants, but it has to be done at a shareholder meeting. That was the only purpose for the revival of the shareholder's meeting last year. Otherwise, Thompson could have just done the authorization as the BoD at any time.

NASDAQ requires an annual shareholder meeting, so we will have them in the future. As you (or someone else) recently said, Thompson doesn't have to take any questions at the shareholder meeting, but the meeting has to happen.
