Mark there is not reason to even explain, to some. they don't have a clue to corp law…

In short, If you are in a corp, and you commit illegal actions, In most cases you fall out of the corporate umbrella, And you can be charged and have no help with the corporation or any insurance that might be in place, In other words it is on your own dime..

Now if the board new about the actions they can be removed... and legal actions can be taken
