(i) Timing of Conversion. Each share of Series A Preferred Stock shall be

convertible into Conversion Shares automatically, upon the effectiveness of the reverse stock split
set forth in the Share Exchange Agreement (the “SEA”) dated December 20, 2019 by and among the
Corporation, Promotora Mexicana De Vehiculos S.A. de C.V. (“PMV”), and the shareholders of
PMV (the “Conversion Date”). In the event the SEA is not consummated, the Series A Preferred
shall be cancelled at the Corporation’s discretion.
