It looks like it’s the first S-8 issuance. About 4.75% of the O/S, which is just shy of the 4.99% beneficial ownership threshold that the toxics would’ve exploited. 3 weeks after a major spike in price and volume, so the timing supports it with expected news on expansion financing.
