The company would receive the strike price for the options and warrants, Nader pocketed the rest (nearly $10M) for himself. That statement about paying those debts was a crafted message to distract from his enrichment on that deal. There was nothing noble about what he did, those debts could have been paid by the company offering about 1/3’d of the stock he sold.

I swear I’ll never use the phrase “you can’t make this stuff up” ever again after being on the OTC. Apparently you can.
