PRAYER FOR RELIEF
WHEREFORE, the Commission respectfully prays for:
I.
Findings of fact and conclusions of law pursuant to Rule 52 of the Federal
Rules of Civil Procedure, finding that the defendants named herein committed
the violations alleged herein.
II.
Permanent injunctions enjoining Defendants from violating, directly or
indirectly, the laws and rules alleged in this complaint.
III.
An order pursuant to Section 21(d)(2) of the Exchange Act [15 U.S.C.
§ 78u(d)(2)] prohibiting defendant Singerman from acting as an officer or

director of any issuer that has a class of securities registered pursuant to Section
12 of the Exchange Act [15 U.S.C. § 78l] or that is required to file reports
pursuant to Section 15(d) of the Exchange Act [15 U.S.C. § 78o(d)].
IV.
An order pursuant to Section 21(d)(3) of the Exchange Act [15 U.S.C.
§ 78u(d)(3)] imposing civil penalties against Defendants.
V.
Such other and further relief as this Court may deem just, equitable, and
appropriate in connection with the enforcement of the federal securities laws
and for the protection of investors.
