Securities Act of 1933 and 12b-2 of the Securities Exchange Act of 1934. Based on my review of the historical financial statements and reports filed with OTC Market and the Securities and Exchange
Commission, the Issuer, under the predecessor names Ukragro Corporation and Amarok Resources, Inc., reported as a shell company from the initial S-1 Registration Statement filed on January 6, 2009, through
the quarterly report on Form 10-Q for the period ended January 31, 2010.
