The registrant is not able to timely file its requisite annual report on Form 10-K for the fiscal year ended December 31, 2019 by the prescribed due date without incurring undue hardship and expense. The registrant, its consultants and advisors are being impacted by government imposed restrictions due to the outbreak of corornavirus (COVID-19), which has contributed to the delay in compiling and completing the registrant’s annual report. The registrant reasonably believes that it will be able to complete and file its Form 10-K for December 31, 2019 within the prescribed, extended extension period, on or prior to May 14, 2020.
