Let me re-iterate:

The rights of the Vendors under this Agreement (APA) or under any other agreement, certificate or instrument executed and delivered pursuant to this Agreement are excluded from the Purchased Assets.

Any wiggling attempt to deliberately misinterpret this clause is laughable.
