Company must file with the SEC and explain its reason for the extension. It is then reviewed buy the SEC - its not automatic

Regarding killing 2 birds with one stone. THe filing guesstimate for the 10Q had to be included because the SEC would not permit the 10K filing extension without the 10Q being filed first.. Thats why thats in there
