NO. I am presenting the merger. STEPHANE has agreed in principle to this deal. Of the 30,000,000 in the OS after the reverse split, I will have had PRE MERGER 186,984,379 shares, so with a 10-1 reverse, those shares become 18,698,437.9 shares POST MERGER.

Then, I will cancel 10,000,000 of my shares, and the rest left over 8,698,437 shares will still remain RESTRICTED.

All my shares remain restricted, and Access! will get 270,000,000 @ .001 par value, and they will also get:

270+10=280/300 = 93.33% ownership by ACCESS-POWER & CO., INC.
