$XALL Xalles has received a Letter of Interest
from Continuation Capital, an institutional
investor, to potentially fund all or part of
this Tier I offering and part of a subsequently
planned Tier II offering.


$XALL Xalles Holdings will use funds raised through
this offering towards growing the business of the
existing operating subsidiaries, debt repayment,
and additional acquisitions.
