$5M investment commitment on Put Shares

It sounds like it’s at 15% discount to commons or at whatever they are issuing the S-1 at within 45 days.

The part I don’t understand is their is a 4.99% limitation for Diamond Rock. That doesn’t make sense at all unless the valuation is significantly higher because if they even converted $100K at .03 that pushes them towards that 5 percent threshold already.

I don’t get it unless this is just the first domino of something significant or the company is just locking up access to major funding at higher valuations. Which the latter feels like a waste unless they know if major common valuation changes?
