You might want to check your source. It appears to be from outdated NYSE AMEX rules (the "Exchange" mentioned) and not SEC regulations. From the link below it can be seen that the rule was active on July 31, 2015, but if you click on the "July 31, 2017" link the rule was abolished by amendment and Section 612 of the rules is now "Reserved".
