WebSlinger - i think you are skipping over the part where Arrayit put up their Avant shares as collateral and signed over ownership to Iconic to satisfy their obligation (at the time, the market value far exceeding that obligation). If I remember correctly, Iconic acknowledged this and even dropped the lawsuit because the debt was settled.

Then after many months, Iconic attempted to convert shares without Arrayit's knowledge for a debt that no longer existed.

I think I have the crux of the issue correct here.
