"On November 22, 2019, stockholders holding a majority of the voting power of our issued and outstanding capital stock executed a written consent approving filing a Certificate of Amendment together with Amended and Restated Articles of Incorporation to amend the Company’s Amended and Restated Articles of Incorporation (the “Articles”) to increase the number of authorized shares from 1,000,000,000 to 15,000,000,000 and increase its authorized common stock, $.0001 par value per share (the “Common Stock”), from 975,000,000 to 14,975,000,000 (the “Amendment” also referred to herein as the “Increase in Authorized Shares of Common Stock”).
