Notice the statute is never quoted. There is no case law ever quoted. The reality is TRON did nothing wrong. The repeated "they committed fraud" is just an opinion and it is wrong.
If Biofin or Biofinn represented themselves as being able to enter into the transaction to sell Upco to TRON that is all TRON needs to know.
That is not made up Bullshit. That is the law.
A quick search shows many court cases on liability when doing business with a nonexistent corporation. But no where does it say that you can't do business with one. I hope we don't hear that any more.
The shares were never transferred and could not be transferred until Biofinn had an account set up with some type a tax payer ID.
