So you are saying I can't sell my shares to joe down the street?

Of course I can. The COMPANY can't do a private placement deal without being registered, but normal investors can. Who's to say this calvin brown guy didn't personally own a ton of PBLS shares that he really wanted to get rid of and at the time there wasn't enough volume to do so. So he sold at a price below market value...yet still above his purchase price?
