IMPLEMENTING CORPORATE NAME CHANGES

Gunpowder Capital Corp. (the “Corporation”)
WHEREAS, it is deemed desirable and in the best interests of the Corporation that the following actions be taken
by the Directors of Gunpowder Capital Corp., pursuant to this Unanimous Written Consent:
NOW, THEREFORE, BE IT RESOLVED that, pursuant to applicable law, the undersigned, being all of the
Directors of the Corporation, hereby consent to, approve, and adopt the following:
The Authorization to Commence and Implement Corporate Name Changes
WHEREAS, the Board of Directors of the Corporation has determined that it is in the Corporation’s best interest
to grant the Management of the Corporation the ability and the authority to Amend the Corporation’s articles and to both undergo
and implement a Corporate Name Change which once completed would change the Corporation’s current name from
“Gunpowder Capital Corp.” to Bluesky Digital Assets Corp.” and that the name change will take place and will be completed and
effective on December 2nd 2019.
RESOLVED, that the Board of Directors hereby grants the Management of the Corporation the authority to
draft articles of Amendment with the purpose of changing the Corporation’s operating name from “Gunpowder Capital Corp.” to
“Bluesky Digital Assets Corp.” The Board also approves granting the Secretary or the Corporation the ability to file all necessary
documentation to the Ministry of Government Services, to submit any documentation needed to implement the Corporate name
change with the CSE, OSC, BCSC, ASC, FINRA, DTCC, TSX Trust, OTC Markets and the Canada Revenue Agency. The
Board also grants the secretary the authority to secure a new stock trading symbol that better matches the new corporate name.
The Board grants the secretary of ascertaining a Corporation profile report and the certificate of Status once the name change
has been implemented.
WHEREAS, the Board of Directors of the Corporation has determined that it is in the Corporation’s best interest
to grant the Management of the Corporation the ability and the authority to Amend the Corporation’s operating subsidiary “Silver
Shield Resources Inc.” articles and to both undergo and implement a Corporate Name Change which once completed would
operating subsidiary “Silver Shield Resources Inc.” to Bluesky Digital Assets Inc.” and that the Name Change will take place and
be completed and effective December 2nd 2019.
RESOLVED, that the Board of Directors hereby grants the Management of the Corporation the authority to
draft articles of Amendment with the purpose of changing the Corporation’s operating name from “Gunpowder Capital Corp.” to
“Bluesky Digital Assets Corp.” The Board also approves granting the Secretary or the Corporation the ability to file all necessary
documentation to the Ministry of Governmental Services, to submit any documentation needed to implement the Corporate
name change with the Canada Revenue Agency. The Board grants the secretary of ascertaining a Corporation profile report
and the certificate of Status once the name change has been implemented.
This resolution may be executed and delivered by facsimile or other electronic means in any number of counterparts, each of
which when executed and delivered is an original but for all of which taken together constitute one and the same instrument.
This resolution is consented to by all directors of the Corporation, pursuant to Section 129 of the Business Corporations Act
(Ontario) as evidenced by the signatures below.
