People don’t understand that means that the outstanding shares remain intact and no dilution is needed to complete the deal.

However, FINRA has a strange rule that the Authorised Share count has to be increased to cover the value of the deal even if those shares are never issued.

I’ve seen that on a lot of reverse mergers. This one is no different.
