They cant get an audit unless its for an uplisting to the OTC. No pink has audited financials.

If they want to audit the company they have to audit the past 3 years. An auditor has no previous audited year to compare the numbers/footnotes to, which is why they want them to go back 3 years. This many years gives them a strong basis to create an accurate report for the current year

PS: The company is currently negotiating a large amount of shares to buyback, which would bring them close to 10% of the company repurchased in just months.
