That's because the shares are 'taken out' from the Insider.Like say for example, they were granted 1000 Stock options, it means the Insiders account added 1000 shrs,right?But right then, due to the Tax provisions/requirements in the US(& since Stock Options are considered as 'Income'), a certain # of shrs are reduced to adjust for Taxes.Say in this example, maybe 400 shrs go towards Tax adj.That implies the Employee actually got 600 shares(1000-400).Neither the 400 or the 600 are considered Open market sells/buys.
