Penny stock shell vendors file custodianship petitions to take control of abandoned shell companies in the state in which the companies are incorporated. Usually that's Nevada. Once the petition is granted--the courts usually rubberstamp these requests--they "clean up" the shell, or say they do, and then sell it to the owner of a private company wishing to take it public.
