“my scope”??? Lol. I can read the Georgia Corporate Statutes just fine and I understand how buybacks work.

A buyback or a dividend are two different ways of returning capital to shareholders. Each have their pros and cons.

But the end result is the same...a distribution of company assets to shareholders.

However when liabilities exceed assets then such a distribution violates the lower priority claim that common shareholders have to those assets relative to debt holders which is why almost every state prohibits it.

This is Corporate Law 101 type stuff.
