Oversimplied of course; the S1 is the put. Once the company makes it effective the price is 82% of the lowest price over the previous 10 days.

DSGT would receive just over $200k if declared effective today.

The biggest difference between this and the toxic cn's in late 2017 and 2018 is these funds will be used to generate revenues not just keeping the lights on.

Also, unlike a loan, the company does not take on debt burden.
