Fraud or not, did the asset exist? If it did, why wouldn't it be proper for ALYI to explore getting a piece of it. If it didn't exist, the LOI would have been meaningless anyway.

An LOI only commits them to a good faith effort to complete the deal. It doesn't guarantee that a deal will result.
