I sent an inquire to the company concerning an 8-K filing on the S-1 Effectiveness that was issued on Oct 2. This is the answer I got back:

According to our SEC counsel, no 8-K on effectiveness is necessary. 8-K’s on unregistered issuances (including convertible notes) are required when aggregate issuances since the last reported share number (reported via 8-K, the last 10-Q or 10-K) exceed 5% of the outstanding.

So there wont be an 8-K filed in accordance with the Effectiveness that was filed on Oct 2
