The Board believes that the amendment of the Certificate of Incorporation is necessary to position the Company to be able to issue additional shares of its Common Stock in the future to finance the Company's growth and that the filing of a Certificate of Amendment of the Certificate of Incorporation ("Certificate of Amendment”) with the Secretary of State of Delaware is beneficial to the Company.
