VNRCF Noverco Acquisition, Inc. ("AcquisiCo") has acquired all of the issued and outstanding Common Shares and Preferred Shares pursuant to a plan of arrangement involving Valener, AcquisiCo and Noverco Inc. ("Noverco") (the "Arrangement"). Holders of Common Shares will receive, for each Common Share held, $26.00 in cash.
