Anyway company has been in contact with Mr Toni as late as last week. They have given all rights over to Mr. Nick to reassign it to a new entity. She is under the assumption that he would have responsibility to get all the fillings up to date which has started today. That leads us to believe that the new company is ready to take it over.

Lots of other info on share count. She let me know that they wanted to go private again several years ago and filled so they didn’t have to report anymore. They tried to buy back all the stock but many shareholders refused. They were only able to buy back about 100 million shares. She said they had to cancel all their shares and the ones they bought back in agreement to transfer the shell. She believed this to be sound 240 million which leaves around 200 million out and about. This was in a timeframe that was before electronic trading so all the shares were in certificate form. So if you think about it there are many certificates out there that are not trading it the owners forgot or passed away. This float or public trading shares may actually be very small bc of this technicality.

Again she stated the shell is debt free and clean as can be. The only thing that was needed to be verified was a lawsuit for some app with laundry mats about the software developer but that was settled. Me nick wanted to make sure that was not going to come back. It was her belief that he has a company line up. She said she is not given info of this new company bc they already signed the shell over to mr nick. He would only contact them if needed for info. The fillings today were a surprise to her but a relief bc the process is actually moving forward now. That was her goal to not have the shell or responsibility anymore.


We have a very clean shell and with these recent fillings are close to the merging entity becoming known.
