Why dilute 33% current-value if Nasdaq requires higher marketcap?

Plus, dilution tends to lead to lower share prices, which we are now seeing, and Nasdaq requires a higher share price., above $1 too.

So, how the heck will Surge get Nasdaq listed when doing the exact opposite of what is needed to get listed on Nasdaq?.
