S1 is for POTN offering sale of stock to public market. this is how they will raise further capital, by selling 200m common shares to retail.

S1 is not used for anything else. it is ONLY used for company directly offering shares for sale. S1 is a prospectus designed to inform current shareholders and potential buyers of the upcoming share offering event. drug stocks do this all the time when needing a cash raise to get to next phase of trials testing.

don't expect POTN to go up anytime soon as there will be a very large share supply overhang (200m) crapping up the ask. mass destruction of current share price level is likely.

unless they have a large carrot to go with this huge stick- I'm looking for .003-.005 range.
